Subcontract Work Performed without Agreement to Terms

When parties continued to negotiate the terms of a subcontract until commencement of work and then performed the work without a signed written agreement, the prime contractor’s standard written form was not binding on the subcontractor. The sub could sue for payment based on an implied-in-fact contract.
