Subcontractors and suppliers face many risks that can erode anticipated profit margins and even expose them to substantial liability in the event of delays or cost overruns. Further risks arise under their subcontracts, which typically include one-sided provisions and risk-shifting clauses imposed by the general contractor. On many projects, onerous contract terms fl ow down through the owner’s contract with the general contractor.

General contractors are also at risk in managing subcontracts. Despite performance bonds and other protections, subcontractor default is the most serious issue. Other risks abound, such as improper coordination of subcontractors and failure to timely submit subcontractor change requests to the owner.
